Terms of service
Last updated: September 2026

These Terms of Service explain the general terms that apply when you engage Mon + Co Agency Pty Ltd (ABN 87 658 846 596) to provide services through Mon + Co or The VM Edit.
Our services include visual merchandising, retail consulting, workshops, masterclasses, speaking engagements, mentoring, training, strategy, resources and other services we may offer from time to time.
If you purchase one of our services through our online booking system, our Online Booking Terms & Conditions and Booking Policy also apply.
If we enter into a separate proposal, Statement of Work or client agreement with you, that agreement will apply to those services and will take priority to the extent of any inconsistency.

1. Our Services

The scope of the service we're providing will be set out in the relevant service description, booking confirmation, proposal, Statement of Work or other written agreement between us.
We'll provide our services with reasonable care and skill and in accordance with the agreed scope.
We may use our employees, visual merchandisers, contractors, consultants or other appropriately experienced team members to deliver parts of a service.

2. Working Together

Good work depends on both sides doing their part.
You agree to provide us with the information, access, approvals, decisions and other assistance we reasonably need to deliver the service.
For in-store or on-site services, this may include ensuring:
-
appropriate access to the location;
-
relevant inductions or approvals have been completed;
-
agreed stock, fixtures or materials are available;
-
relevant staff or decision-makers are available where required; and
-
the location is reasonably safe and ready for our team to work.
If something on your side delays the work or prevents us from completing it, we'll work with you to find a practical solution. Additional time, visits or costs may be chargeable where reasonably required, and we'll discuss any material additional charges with you before proceeding.

3. Fees & Payment

The fees for your service will be shown on the website, at checkout, in your booking confirmation or in the relevant proposal or agreement.
Unless stated otherwise, prices are in Australian dollars.
GST will be included or added as indicated in the relevant pricing or agreement.
Depending on the service, payment may be required:
-
upfront;
-
by deposit and balance payment;
-
by scheduled instalments; or
-
in accordance with an invoice or separately agreed payment schedule.
Online payments are processed through Wix and Stripe.
If you purchase a service through our online booking system, the applicable payment arrangements are also set out in our Online Booking Terms & Conditions and Booking Policy.

4. Changes to Scope

Retail moves quickly, and sometimes the scope changes.
If you ask us to do something materially outside the agreed scope, we'll let you know if that affects the timing, fees or resources required.
Where additional fees are required, we'll agree those with you before undertaking the additional work wherever reasonably practicable.

5. Bookings, Changes & Cancellations

For services booked online, our Booking Policy sets out the applicable rescheduling, cancellation and booking arrangements.
For larger projects or ongoing client engagements, the cancellation and termination arrangements in the relevant proposal, Statement of Work or client agreement will apply. If there is no separate arrangement, please contact us as early as possible if something changes and we'll work with you to find a practical solution.

6. Travel, Materials & Third-Party Costs

Travel, accommodation, parking, freight, venue hire, materials, props and other third-party costs may be additional to our service fees unless expressly stated as included. Where reasonably practicable, we'll obtain your approval before committing material additional costs.
Approved costs that have already been committed and cannot reasonably be cancelled or recovered remain payable if the project or booking is subsequently changed or cancelled.

7. Our Materials & Intellectual Property

Mon + Co has developed its own methodologies, frameworks, presentations, templates, training resources, workshop content, mentoring materials, processes and other intellectual property.
Unless we agree otherwise in writing, Mon + Co retains ownership of its pre-existing intellectual property and materials.
Where we provide materials to you as part of a service, you may use them for your own personal or internal business purposes.
Unless we have agreed otherwise, you must not:
-
resell our materials;
-
commercially distribute them;
-
publish paid resources publicly;
-
substantially copy them to create a competing course, service or resource;
-
share them outside your organisation or authorised participants; or
-
remove our branding and represent our materials as your own.
You continue to own information, branding, documents and other materials you provide to us.
Any project-specific intellectual property arrangements agreed in a separate client agreement will take priority over this section.

8. Confidentiality

We understand that working together may involve access to commercially sensitive information.
Each party agrees to treat information as confidential where it is identified as confidential or would reasonably be understood to be confidential.
Confidential information may be used where reasonably necessary to provide or receive the services, and may be disclosed to team members, contractors or professional advisers who reasonably need access to it.
This obligation doesn't apply to information that is already publicly available through no breach of confidentiality, was independently known, or must be disclosed by law.

9. Photos, Video & Client Work

We love showing great work, but we won't assume that every project can be publicly shared.
Where appropriate, we'll obtain permission before using identifiable client content, testimonials, photographs or video for promotional purposes.
Any use of personal information is also subject to our Privacy Policy.
If a separate client agreement contains specific confidentiality, publicity or brand-use requirements, those requirements will apply.

10. Workshops, Training & Mentoring

Our workshops, training, masterclasses and mentoring services are designed to provide practical education, experience, strategy and guidance.
They are collaborative services. You'll remain responsible for decisions relating to your business, career, team and implementation.
We don't guarantee a particular sales, financial, career or commercial outcome.
That doesn't affect any right or guarantee that applies under Australian Consumer Law.

11. Third-Party Services

We may use third-party platforms and providers to help deliver our services, including Wix, Stripe, Google Workspace, Google Meet, Xero and other technology or professional services.
Independent third-party services may also be subject to their own terms and privacy policies.
We aren't responsible for temporary outages or failures of independent third-party services outside our reasonable control. If an issue materially affects our ability to deliver a service, we'll work with you to find a practical solution.

12. Privacy

We handle personal information in accordance with our Privacy Policy.
This includes information collected through enquiries, bookings, payments, mentoring, workshops and other interactions with Mon + Co and The VM Edit.

13. Australian Consumer Law

Nothing in these Terms of Service excludes, restricts or modifies any consumer guarantee, right or remedy available under the Australian Consumer Law or any other law that cannot lawfully be excluded or limited.
Where the Australian Consumer Law applies, our services come with applicable consumer guarantees, including that services will be provided with due care and skill.
If there is a problem with a service, please contact us so we can understand what has happened and work with you on the appropriate solution.

14. Liability

To the extent permitted by law, each party is responsible for loss or damage caused by its own acts or omissions.
Mon + Co is not responsible for:
-
business or commercial decisions you make independently;
-
results affected by your implementation or circumstances outside our reasonable control;
-
loss caused by inaccurate or incomplete information you provide to us; or
-
failures of independent third-party systems outside our reasonable control.
Nothing in these terms excludes or limits liability where it cannot lawfully be excluded or limited.

15. Circumstances Outside Our Control

Sometimes events outside either party's reasonable control can affect a service, such as serious illness, extreme weather, travel disruption, venue closure, government restrictions or significant technology failures.
If this happens, we'll work with you in good faith to minimise the impact and, where appropriate, reschedule or adjust the service.

16. Ending a Service

For online bookings, cancellations are dealt with under our Booking Policy, Online Booking Terms & Conditions and Refund Policy.
For services governed by a separate proposal, Statement of Work or client agreement, the termination provisions in that agreement will apply.
We may suspend or end a service where there is a serious breach of the agreed terms, unlawful or abusive conduct, or an amount remains materially overdue after we've provided a reasonable opportunity to rectify the issue.
Where appropriate, we'll first try to resolve the issue before ending the service.

17. Resolving Problems

If something isn't right, please contact us first.
We'd prefer to understand the issue and work towards a practical solution rather than let a problem unnecessarily escalate.
Nothing in this section prevents either party from exercising any legal right or remedy available to them.

18. Changes to These Terms

We may update these Terms of Service as our business and services evolve.
The current version will be available on our website.
Any updated terms will apply from their stated effective date and won't retrospectively change the material terms of an existing confirmed engagement unless agreed with you or otherwise permitted by law.

19. Governing Law

These Terms of Service are governed by the laws of Queensland, Australia.
Nothing in this section limits any rights you may have under applicable Australian consumer legislation.
